By accessing or using the Site, you represent that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. We may update these Terms as described in "Changes to These Terms." Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

The Site is intended for businesses and professionals. You must be at least 18 years old to use it. If you use the Site on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.

The Site provides general information about benefits cost strategies and a way to request a presentation. It is provided for general informational purposes only.

Nothing on the Site constitutes legal, tax, accounting, financial, actuarial, or insurance advice, and nothing on the Site creates an advisor, broker, agent, fiduciary, or client relationship between you and EZRAAG. You should consult your own qualified advisors before making any decision.

Nothing on the Site is an offer, solicitation, or recommendation to buy, sell, or enroll in any insurance product, plan, or security, or to adopt any particular strategy. Any specific strategy details, modeling, or recommendations are provided only through a separate, formal engagement and with your own advisors involved.

Any calculators, savings ranges, examples, charts, and projections on the Site are illustrative and hypothetical. They are based on assumptions — including general market data and typical workforce composition — that may not apply to your organization.

They are not promises, guarantees, or assurances of any particular savings, cost, or outcome. Actual results depend on many factors, including your workforce, plan design, participation, and claims experience, as well as applicable law, and will vary. Some organizations may realize little or no savings. Any program is subject to eligibility requirements, plan terms, and applicable law, and figures may change.

Third-party data and validated results referenced on the Site are attributed to their sources and were accurate as we understood them at the time of publication. We do not independently guarantee third-party data.

EZRAAG LLC, through Ezra A. Gonzalez, is a licensed insurance broker (California insurance license #4366085). Insurance products and services are offered only in jurisdictions where we are properly licensed and authorized. The availability of any product, strategy, or service depends on your location and circumstances. This Site is not an offer to transact business where we are not licensed.

The Site and its content — including text, graphics, design, layout, logos, and the selection and arrangement of content — are owned by EZRAAG or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own personal, non-commercial evaluation.

You may not copy, reproduce, republish, distribute, modify, create derivative works from, frame, scrape, data-mine, or otherwise exploit any part of the Site without our prior written permission. All rights not expressly granted are reserved.

You agree not to:

• use the Site for any unlawful, fraudulent, or harmful purpose;
• interfere with or disrupt the Site, its servers, or networks, or attempt to gain unauthorized access to any part of it;
• use any robot, spider, scraper, or other automated means to access or collect data from the Site;
• introduce any virus, malware, or other harmful code;
• misrepresent your identity or affiliation, or submit information you are not authorized to provide; or
• use the Site or its content to build or train any competing product, dataset, or model.

When you submit information through the Site, you represent and warrant that the information is accurate and that you have the authority to provide it. You agree not to submit protected health information, Social Security numbers, other sensitive personal information, or the confidential information of any third party.

You grant EZRAAG a non-exclusive, royalty-free license to use the information you submit to respond to your inquiry, operate the Site, and maintain our records, as further described in our Privacy Policy. Except as stated in the Privacy Policy or in a separate written agreement, we are under no obligation of confidentiality with respect to information you submit through the Site.

The Site may contain links to third-party websites, content, or services that we do not control. We provide these for convenience only; we do not endorse them and are not responsible for them. Your use of third-party websites and services is at your own risk and subject to their terms and policies.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZRAAG DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not warrant the accuracy, completeness, or usefulness of any information on the Site, and any reliance you place on it is strictly at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZRAAG AND ITS MEMBERS, OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EZRAAG ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless EZRAAG and its members, owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your submissions, your violation of these Terms, or your violation of any law or the rights of any third party.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

Informal resolution first

Before initiating any claim, you agree to try to resolve the dispute informally by contacting us and allowing 30 days to resolve it. ezra@ezraagconsulting.com

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to the Site or these Terms that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in California. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver

You and EZRAAG agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Exceptions

Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. If the class-action waiver is found unenforceable, the remainder of this Section will be unenforceable, and the dispute will proceed in the state or federal courts located in California.

Your right to opt out of arbitration

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us with your name and a statement that you opt out of arbitration. Opting out will not affect any other part of these Terms. ezra@ezraagconsulting.com

We may modify these Terms at any time by posting the revised version on the Site and updating the "Last updated" date. Material changes take effect when posted. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and EZRAAG regarding the Site and supersede any prior agreements on that subject.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them freely.
• Headings. Section headings are for convenience only and do not affect interpretation.
